Constitution

Article I. Name

The name of this organization shall be the “New Hampshire State Chiropractic Society”, hereafter referred to as ‘the Society’ or ‘NHSCS’.

 

Article II. Objectives

OUR MISSION

The mission of the New Hampshire State Chiropractic Society is to perpetuate and advance the principles of chiropractic. We shall accomplish this by uniting and supporting chiropractors in their efforts to correct vertebral subluxations, and by promoting the public awareness and utilization of chiropractic.

OUR VISION

Our Vision is a world wherein Chiropractic is available to (and its value understood by) all, a network of loyal, disciplined, prosperous Chiropractors correcting vertebral subluxations in service to their communities, thereby enhancing the expression of Life. The NHSCS is the premier educational organization for promoting the success and professional development of Chiropractors (in NH). We engage and direct our society’s resources to promote widespread public awareness and utilization of Chiropractic care throughout life.

Article III. Membership 

This Society exists primarily for the Chiropractors practicing in the State of New Hampshire. We also encourage other Chiropractic supporters to participate. Eligibility includes the willingness to follow the responsibilities listed.

 

Section III.01 Classification. The Society has five classifications for membership; Active, Executive, Supportive, Student and Honorary.

(a) Active Member. Must be licensed by and practicing in the State of New Hampshire.

(b) Executive Member. Must be licensed by and practicing in the State of New Hampshire. Executive membership is intended for those members who have a demonstrated commitment to the Society, especially by serving on the Board of Directors. Active members who wish to contribute to the Society by paying these extra dues are welcome and encouraged to do so.

(c) Supportive Member. Open to any friends of NHSCS, out of state or retired chiropractor, non-chiropractic spouse of a chiropractor, office staff member, or any individual or organization committed to the Society’s objectives.

(d) Student Member. Open to any chiropractic student while actively enrolled in Chiropractic College.

(e) Honorary Member. Any person the NHSCS Board of Directors chooses to honor for special services rendered to the cause of chiropractic.

 

Section III.02 Rights of Membership. All members shall be granted the right to take full participation in the affairs of the Society, with only executive and active members having voting rights for Society decision making and the privilege to be on the Executive Board. Any member may attend meetings, engage in discussions and serve on committees. Each member shall have access to a copy of the Constitution and Bylaws of this Society from the NHSCS website on the internet or from the Society with a written request.

 

Section III.03 Responsibilities.

(a) To practice Chiropractic as a healing philosophy, science and art, with the primary focus being on the detection and correction of the vertebral subluxation complex, for the restoration and preservation of health.

(b) To be familiar with and to support the Constitution and Bylaws of the Society.

(c) To be active in supporting the goals and activities of the Society.

(d) To promote public awareness of Chiropractic.

(e) To pay dues as appropriate for membership class.

 

Section III.04 Termination of membership. Any member may be suspended or any application rejected by a majority vote of the Board of Directors. Resigning members are encouraged to write to the Board expressing the reason for the resignation and to include any suggestions for improvements to the Society.

 

Article IV. Governance

Section IV.01 Board of Directors. The NHSCS Board of Directors shall have five members, consisting of three Officers and two Directors. Officers shall be President, Vice-President, and Treasurer. All officers and directors shall serve without compensation.

(a) Responsibilities. The Board of Directors shall have full power of the Society except for changing the Constitution and Bylaws. They shall be charged with the management of the Society.

(i) Decisions regarding the governance of the Society shall be preferentially by consensus. In the absence of consensus, a majority vote shall constitute a quorum for the transaction of business.

(ii) The Board of Directors shall examine and accept or reject all completed applications for membership.

(iii) The Board of Directors may retain the services of an attorney or other professional (i.e., lobbyist, accountant, public relations specialist, etc.) to attend generally to the legal or otherwise indicated affairs of the Society.

 

Section IV.02 Elections of Board members. Each fall (at semi-annual membership meeting), the Society shall include elections in the meeting agenda. The members shall elect all officers and one director. Each officer shall serve a one-year term; each director shall serve for a period of two years.

 

Section IV.03 Removal of Board members. If it becomes necessary to remove a Director from the Board, a vote by the majority of the remaining Board members shall be binding.

 

Section IV.04 Rules and Regulations. Any motion not contrary to the Constitution and Bylaws of the NHSCS that is properly presented, seconded, and passed by a simple majority of those voting, shall automatically become part of the rules and regulations.

 

Article V. Meetings.

Section V.01 Monthly meetings will be scheduled to conduct the affairs of the Society. All members are welcome and encouraged to attend and participate in discussions. Voting will be restricted to the Board of Directors.

 

Section V.02 Semi-Annual Meetings will be scheduled in the spring and fall. All active and executive members present and in good standing may vote. Elections and Constitution & Bylaw amendments will be reserved for these meetings.

 

Section V.03 Special Board Meetings. From time to time it may become expedient to hold special meetings of the Board of Directors. The President has the power to call such meetings and specify the conditions for said meetings as needed. Any three of the other Directors may also call a special meeting should an urgent need arise.

 

Article VI. Affiliated Organizations.

As part of the mission of the NHSCS the Society may maintain relationships with allied organizations. In the past, the Society has related to the International Chiropractic Association, the New Hampshire Board of Chiropractic Examiners, the New Hampshire Chiropractic Association, the Congress of Chiropractic State Organizations, the Federation of Straight Chiropractic Organizations and the New Hampshire Citizens for Health Freedom.

 

Section VI.01 The Society shall nominate a member(s) to be forwarded to the governor for selection and appointment to the New Hampshire State Board of Chiropractic Examiners (NHBCE) whenever positions open, usually as terms expire.

 

Section VI.02 The Society may also nominate prospective lay members to the NHBCE as openings come due.

 

Article VII. Financial Management.

Section VII.01 Charter. The Society shall maintain a charter in the state of New Hampshire as a not-for-profit organization.

 

Section VII.02 The Society may collect monies, earn interest and receive donations as long as said monies are utilized according to the mission of the Society.

 

Section VII.03 In the case of dissolution of the Society any money left over shall be donated to the International Chiropractic Association. Any physical assets may be distributed among the members in good standing.

 

Article VIII. Constitutional Amendments

The Constitution may be amended only upon the affirmative vote of three fourths of the members present and voting at a semi-annual meeting or at a special meeting called for that purpose. All proposed amendments shall have been submitted in writing and a copy thereof mailed, emailed, faxed and/or sent via the most up-to-date technology to each member at least 10 days before said meeting. The date of any amendment shall be included at the bottom of the newest version of the Constitution.
